Every firm gets 2 view-only seats at no charge — for the partner who reviews, the bookkeeper who reads the ledger, the of-counsel who checks in. View-only members are never billed, and their write access is blocked at the database layer, not just hidden in the interface.

What the seat price is not

The seat covers the platform. AI generation beyond the free allowance is a separate, per-firm add-on — itemized in Schedule B so you can see exactly what it costs before you turn it on. We would rather print two honest numbers than one number with an asterisk.

Per firm. Not per seat.

One AI subscription covers every seat in the firm. The Free tier is on from day one — every AI feature, capped at 40 generations a month. Paid tiers raise the quota; the quotas below are the enforced limits, not marketing numbers.

Overage never happens to you. It is off by default; if you opt in, you set a hard monthly spend cap and generation billing stops dead at it. On the Free tier there is no overage at all — past 40 generations the path is an upgrade, not a surprise on an invoice.

These are the rules the billing code enforces — not a summary of them.

Do invited users count as billed seats?: Yes. Billed seats are active members plus open invitations. View-only members are the exception — your 2 included view-only seats are never billed.
I add a seat mid-cycle. What am I charged?: A prorated charge for the remainder of the current billing period, at your seat rate. If that prorated charge is declined, the addition rolls back — the seat is not created against an unpaid invoice.
I remove a seat mid-cycle. Do I get a credit?: No. Seat reductions take effect at the next renewal and carry no mid-cycle credit — you keep the seat for the time you have already paid for.
I cancel the AI add-on. What happens?: The add-on ends and the unused portion of the current month comes back to you as a prorated credit on your account. You keep the Free tier's allowance either way.
How does AI overage billing work?: It is opt-in, per generation, at the rate printed for your tier in Schedule B. You set a hard monthly spend cap when you opt in, and billing stops at the cap — it cannot run past the ceiling you chose.
What happens to my data if the trial ends without a subscription?: Your data is preserved for 60 days after trial end or cancellation, so nothing is lost while you decide. If you leave, it is deleted from our primary systems within 90 days.
